Welcome to Claire IT AI, operated by EthosMed Partners LLC ("Company", "we", "us", or "our").

These Terms of Use ("Terms") govern your access to and use of the Claire IT AI platform ("Claire IT AI", "Platform", "Service").

By using Claire IT AI, you agree to comply with and be bound by these Terms.

1. Authorized Use

Claire IT AI is intended for use by healthcare professionals, medical coders, students, and organizations seeking assistance with medical coding and documentation workflows.

You agree to use Claire IT AI solely for lawful purposes and in accordance with these Terms.

2. Data Usage and Restrictions

You agree:

  • Not to upload or input any Protected Health Information (PHI) or sensitive personal data.
  • Not to submit any confidential organizational documents unless expressly authorized to do so.
  • Claire IT AI is designed for general clinical coding guidance only and is not a replacement for official coding resources, legal advice, or clinical decision-making tools.

3. User Content

Any files, images, or text you upload must:

  • Be your own content or content you have permission to use;
  • Not violate any copyright, trademark, privacy, or other legal rights.

By uploading content, you grant Claire IT AI a non-exclusive, royalty-free license to process and analyze the content for the sole purpose of providing coding assistance services.

4. Subscription Plans and Token Usage

Claire IT AI offers subscription plans that allocate a monthly limit of usage tokens.

  • Your access to certain features, functionality, and limits is determined by your active subscription.
  • Claire IT AI reserves the right to modify token limits, features, and plan pricing with prior notice.

If you exceed your token limit, access to further features may be restricted until renewal or upgrade.

5. Payment Terms

If you subscribe to a paid plan:

  • Payments are processed through a third-party provider (Stripe).
  • Subscription fees are billed monthly or annually as selected at checkout.
  • You are responsible for maintaining valid payment information and promptly updating any changes.

Failure to complete payment may result in suspension or termination of services.

6. Limitations of AI Behavior

You acknowledge:

  • Claire IT AI uses AI models to assist with generating responses and suggesting medical codes.
  • AI-generated content may sometimes contain inaccuracies or unexpected outputs.
  • You are solely responsible for verifying any suggestions or outputs before relying on them professionally.

Claire IT AI is not liable for errors or omissions in AI-generated responses.

7. Prompt Engineering and Misuse

You agree not to:

  • Attempt to manipulate Claire IT AI's outputs through adversarial prompts, hidden commands, or reverse engineering techniques.
  • Circumvent security measures or extract underlying confidential system logic or data.

Misuse may result in account suspension or legal action.

8. Account Termination

We reserve the right to suspend, terminate, or restrict your access to Claire IT AI at any time, without notice, for violations of these Terms or other unlawful or improper conduct.

9. Disclaimers and Limitation of Liability

Claire IT AI is provided "as is" and "as available" without warranties of any kind.

EthosMed Partners LLC disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

Use of Claire IT AI is at your own risk.

To the maximum extent permitted by law, EthosMed shall not be liable for any indirect, incidental, consequential, or punitive damages.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to conflict of law rules.

Any disputes will be exclusively resolved in the courts located in Denver County, Colorado.

11. Subscription Billing and Renewals

Claire IT AI offers subscription-based access to certain features and usage tiers.

By subscribing to a paid plan, you agree to the following terms:

  • Auto-Renewal: Your subscription will automatically renew at the end of each billing period (monthly or annually, as selected) unless canceled before the renewal date.
  • Payment Method: You authorize us to charge your payment method through our third-party processor (Stripe) for all applicable fees until canceled.
  • Failed Payments: If your payment method is declined or fails, we may attempt to retry. After repeated failures, we reserve the right to suspend or restrict access to your account.

12. Cancellation and Refund Policy

  • All purchases are final. Claire IT AI subscriptions are billed in advance and are non-refundable.
  • No prorated refunds will be issued for partial months or unused time after cancellation.
  • You may cancel your subscription at any time through your account dashboard. Your access will remain active until the end of the current billing cycle.

13. Fair Usage and Suspension

To maintain system integrity and fair access:

  • Accounts that exceed allowed query or token limits may be throttled or temporarily suspended until the next billing cycle or plan upgrade.
  • We reserve the right to suspend or terminate accounts found abusing the service, violating our Terms, or attempting to circumvent system restrictions.
